It's always difficult to approach someone with such a sensitive issue. I'd ask to speak privately with him/her and tell them.
Bad breath can be a result of a lot of different problems. Here is a quote from http://kidshealth.org/teen/your_body/take_care/halitosis.html:
"Bad breath is caused by odor-producing bacteria that grow in the mouth. When you don't brush and floss regularly, bacteria accumulate on the bits of food left in your mouth and between your teeth. The sulfur compounds released by these bacteria make your breath smell.
Certain foods, especially ones like garlic and onions that contain pungent oils, can contribute to bad breath because the oils are carried to your lungs and out through your mouth. Smoking is also a major cause of bad breath."
Go to this website for help and tips. Then offer these tips to the one with bad breath.
I put a piece of gum in my mouth and then offer them one. If they decline I insist by raising my left eyebrow and nodding.
If by physically close but not really known to me, offer a mint or some gum.
If by close you mean friend, family, etc., they know me well enough to not be offended when I'm rather blunt about it. "Didn't stand too close to our toothbrush this morning, did we?"

Depends on who I'm dealing with. A closer friend or family member, I lightly tease them, so they know without creating an awkward situation. An acquaintance or stranger, I just discreetly move away a bit. Or hold my breath.

I suggest they might want to get a new "check valve". When they say why, I say because the one between your asshole and your mouth is hung open.
I usually try to back away a little. I don't tell them. They've got enough on their plate, obviously.

I wouldn't tell them that have bad breath. That's kind of rude. I would offer the person some gum or mints. I will keep on insisting until the person finally gives in and take a gum/mint.
Somebody close to me - like my sister or boyfriend - I would tell them. Otherwise, I would do the old mint/gum trick and hope they catch on!
If it is someone close to me I'd ask him: "Is that your
breath? Or you just farted?"
back away, if this isn't subtle enough then it's gum and mints next, if it's a friend then I tell them.
There isn't much you can do when it is your consultant opthalmologist and their face is right opposite yours as they stare into your eyeballs and breathe into your nose! I am seeing mine on monday and am dreading his oniony fart breath more than all the nasty stinging drops and lenses pressing directly onto my eyeballs!
But if it is a friend or loved one you can just keep offering them mints or chewing gum or have a conversation about dentists, lead onto gum troubles and then go for broke.
