DO NOT FORMAT IT! My 8mb Nyko memory card just started doing this to me and there IS a way to RECOVER YOUR DATA. Follow these instructions first: 1. Get a clean memory card that you know works properly (or at least one with enough space on it to store all the files you want to keep). 2. (Do this on the explorer screen where they show the memory cards/game discs) Take the card out, reinsert it, check to see if it still "needs to be formatted." Do this over and over again until you see your files come up. More than likely it could take you hundreds of tries before it comes up if your card's damaged. If there's even a slight chance though, depending on how much you value the data this is the only way I have found to recover it. 3. When the data finally comes up/is read by the PS2, stick your OTHER (clean/working) memory card into the 2nd slot. 4. Proceed to copy all the files you really want to keep onto the 2nd (clean) memory card. This may not work for you, but it's worth a try. The only way you'll be able to do this, however is if you can get your PS2 to read the current damaged/"unformatted" memory card.
