Chairman is the head of the board of directors, a committee that meets periodically to help guide a corporation. CEO is an acronym for Chief Executive Officer. The CEO is above the President and all other chief officers of the corporation.

In theory the board directs the CEO and the CEO executes their directives. The Chairman of the board is like the chairman of anything else-he keeps order and trys to build concensus. It doesn't always work out that way.
