    The operating agreement of a limited liability company, or LLC, frequently includes a section outlining the "duties and responsibilities" of its members. If one of those members fails to carry out his assigned duties, he can be found in breach of the agreement and penalized---or sued.

    Of course, just like any agreement you can violate the terms and conditions. Although, LLC Operating Agreements are usually broken upon the grounds of financial sharing.
