  • Most HOAs write into their charters that it is mandatory to meet at least once a year. That does not mean that voting by the board can not be done by proxy. Your board would have to agree to allow, though. We do that in our HOA. Vote by proxy, online, if necessary.
  • No. Board membership carries with fiduciary duties, which cannot be delegated by a proxy. In most states, proxies are allowed if a homeowner/member cannot attend the annual meeting.
  • FL Statutes 720 state that only those elected to the Board can vote at board meetings and that a board member cannot give a proxy to anyone else to vote on his/her behalf when he/she is absent from a board meeting. The ANNUAL MEETING is a membership meeting and all members can be present in person or give someone a proxy to vote on their behalf, usually for members seeking election to the board. 720 RULES if your HOA docs do not address this issue or are vague.
