I dont, LOL. Wouldnt the code of conduct have been based on ideas???

Yes. That's why I said it was confusing. If I put it this way does it make more sense?: Ethics relate to laws and business practices in general. They are based more or less on the practical code that if you harm your neighbor or customers, then it will eventually catch up with you and no one will trust you, therefore your business will suffer.
Morals relate more to societal and familial customs and religion. Where and ethical man won't lie to his customers because there is no long-term profit in it, a moral man wouldn't lie to his customers, simply because it is to him WRONG.
The most confusing part of this comes in where our society calls what are legally "ethics", "morals", because morals vary from family to family, religion to religion, and culture to culture. For instance, some cultures have nothing against lying, and to them it is not immoral or wrong to lie, even though it may be illegal and unethical.
(So, have I unconfused you yet, or just made it worse?)

You make sense - the business man acts due to the perceived benefit he will achieve - for himself. The moral man acts from goodness and perception for another person.
The variables come when you consider the diversity which people bring with them to the ethic/moral argument. We live by our own core beliefs but can be affected by those held within the wider world.
