Because you know that you're giving up your innocence and it's something that happens only once in a lifetime and can never be taken back. Also, you will ALWAYS remember your 1st time and if you're a girl, you're afraid of it being physically painful. Also, regardless of which gender you are, there's probably a little part of you that's scared you're not doing it with the right person.
