How can I talk to my 12 year old about my depression without freaking her out? I have been feeling suicidal and am having panic attacks and I know that she can sense that something is wrong with me.

You should take her to a counselor and have him or her help you tell her. This way both of you will have some one to talk to. You also should try to get support for your problems. She needs you. Growing up without a parent or one parent is really hard and it can have multiple long term effects on a child.
