Help answer this question below.

I have an LLC with two other members. None of us signed the operating agreement, though we do have one in place. One of the members is not active in the company at all. The other member is embezzling money from the company. How should I handle this?

    Trim the deadwood...get rid of non-contributing personnel and report the embezzler and lay charges..you may get some stolen funds back. One is a leech and the other a thief...do you really want TWO millstones around your neck? At the end of the day ,it is the actions of those two that may well send you into bankruptcy,and if you have knowledge of embezzlement and do not act,then you may be at risk of being classed as complicit in the misappropriation of funds.
