What would the final microstructure be,if a peice of .38% carbon steel was cooled from austenite region at equilibrium conditions

    You have not provide quite enough info here. Unless you are in the most rudimentary Materials course this answer will not be sufficient.
    Assuming that by "equilibrium conditions" you mean uncontrolled cooling at room temperature, the shortest answer is that yo will have Ferrite+Cementite composition(Fe+FE3C).
    As you material dropped below the eutectoid temperature(727C), the Austenitec structure begins transforming to Fe+FE3C as dictated by the following formula:
    y(0.76wt%C)[cooling<->heating]a(0.022wt%C)+Fe3C(6.7wt%C)
    y=Austinite
    a=Ferrite
    Again, I'm not sure what you are up too, but if you are in any engineering program and you are relying on this site to assist you, you might consider yourself "in over your head"
