    Asker's Pick

Selected by the asker, MORE GOOD. (What's this?)

Imo you really only have 2 choices. You can look for another job and leave the company or look for another job and If you are as you say, a very needed asset, then it is you who has the best bargaining chip.
I think the best approach is to be honest and direct about it. Meet with your boss or manager, state your grievances, explain that you have other offers but you would like to stay with this company but you feel it is fair that you receive (whatever it is you want...more money, a promotion or whatever) if you do stay. Give examples to illustrate why you deserve whatever it is you want. If they don't want to try to compromise or give you what you want then you already have another job lined up and you put in your notice or resignation. No point in staying where you are if it's a dead end career.

Why the differnce in perception between you and your manager?

If not your manager, who says you're, "a valuable asset to my company & very needed."
