The CEO of a corporation or Director of a non-profit does not perform the job without accountability. The head of the organization reports to a Board of Directors. The board must ensure that the organization is operated in the best interests of its shareholders and/or members.
Responsibilities
The Board of Directors is not responsible for the day-to-day operations of an organization or non-profit. They are responsible for the long-term viability of an organization through strategic goal planning and fiscal accountability.
Non-profit vs. For-profit
Both non-profit organizations and corporations have Boards of Directors. The primary difference is corporate board members are often compensated while non-profit board members are volunteers.
Structure
The structure of a board of directors is dependent upon the needs of the organization. Often, boards are composed of the organization's CEO or Executive Director and people that do not work within the organization.
Governance
The board creates the bylaws by which it will operate. These bylaws are reviewed as necessary to ensure there are no perceived conflicts of interests.
Recruiting
New board members are often recruited via current board members. However, prospective board members with a passion for a particular corporation or cause may approach the organization to offer their expertise.
