Will you have anything physical in the USA? Office, warehouse, etc. and in which state. Or, do you want to do everything over the internet from another country? Are you a citizen of the USA? Will you pay any employees who are citizens of the USA or living in the USA?

The short answer is that the USA is very business friendly and you will encounter very few restrictions.

The Government is very touchy about collecting taxes if anyone gets paid. It is the employers responsibility to collect taxes on behalf of ordinary employees.

Business's in the USA must also pay taxes on profits. They may have to collect sales taxes as well.
